These Terms of Use (“Terms”) govern your use of shop.traktrain.com (the “Website”), operated by Q. Vilie LLC d/b/a TRAKTRAIN (“TRAKTRAIN”, “we”, “us”, or “our”), and your purchase and use of products made available through the Website.
By accessing or using the Website or completing a purchase, you agree to these Terms and our Privacy Policy. If you do not agree, you may not use the Website or purchase its products.
USE OF THIS WEBSITE
You may use the Website only for lawful purposes and in accordance with these Terms.
SAMPLE PACK LICENSE
When you purchase a sample pack or sound kit (the “Kit”), you are purchasing a license to use the sounds and files contained in the Kit. You are not purchasing ownership of the Kit or its underlying sounds.
Subject to your compliance with these Terms, TRAKTRAIN grants you a non-exclusive, non-transferable, worldwide, royalty-free, perpetual license to incorporate, modify and use sounds and files from the Kit in new musical works, recordings, beats, songs, audiovisual works and other productions (“Derivative Works”).
You may commercially release, distribute, stream, sell, license, perform, synchronize and otherwise exploit your Derivative Works without further payment to TRAKTRAIN. You may sublicense or transfer rights in a Derivative Work as reasonably necessary for its exploitation, provided that no third party receives any independent right to use or exploit the Kit or its sounds on a standalone basis.
You own your Derivative Works, subject to TRAKTRAIN’s retained rights in the Kit and the individual sounds and files incorporated therein.
You may NOT:
- resell, redistribute, sublicense, share, upload, give away or otherwise make available the Kit or any individual sound or file as standalone content, whether free or paid;
- use the Kit or its sounds to create another sample pack, sound library, loop library, preset library, stock library or similar product, including after modification, editing, processing or transformation;
- distribute sounds in a manner intended to allow third parties to extract or reuse them as standalone samples or production assets;
- claim authorship or exclusive ownership of, or register copyright in, the Kit or its underlying sounds;
- register the Kit, its sounds, or any Derivative Work incorporating them with YouTube Content ID or any similar automated content-identification or fingerprinting system;
- register standalone sounds from the Kit with a performing rights organization, collective management organization, music distributor or digital aggregator; or
- use the Kit or its sounds as training data, source material or dataset content for training or developing generative AI or machine-learning models.
You may distribute, monetize, register and collect royalties from bona fide Derivative Works through music distributors, performing rights organizations and similar services, provided that you do not claim exclusive ownership of the underlying Kit or sounds.
You may share Kit files with musicians, engineers or collaborators working directly with you on a Derivative Work, provided they acquire no independent rights to the files and comply with these restrictions.
Any violation of the restrictions above constitutes a material breach and may result in immediate termination of your license without refund.
PRICING AND PAYMENT
All prices are displayed in U.S. dollars unless otherwise indicated. Payment is due at the time of purchase.
Prices and product availability may change at any time without notice. TRAKTRAIN does not provide price protection or refunds because of subsequent price reductions or promotional offers.
TRAKTRAIN may review or cancel transactions where reasonably necessary to prevent fraud or unauthorized purchases and may request additional information to verify a transaction.
REFUNDS AND RETURNS
Due to the digital nature of our products, purchases are generally non-refundable once the product has been downloaded, except where otherwise required by applicable law.

DISCLAIMER OF WARRANTIES
The Website and products are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, to the fullest extent permitted by applicable law.
LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, TRAKTRAIN and its affiliates, officers, directors, employees and agents will not be liable for indirect, incidental, special, consequential or exemplary damages arising from your use of the Website or products purchased through it.
CHANGES TO THESE TERMS
We may update these Terms from time to time. The updated Terms will be posted on this page with a revised “Last Updated” date.
The license applicable to a completed purchase will be the version of these Terms in effect at the time of that purchase.
PRIVACY
Your use of the Website and purchases through it are subject to the TRAKTRAIN Privacy Policy available at traktrain.com/privacy.
GOVERNING LAW
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction and venue of the state and federal courts located in Dallas County, Texas.
